Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TunerPro website, software licences, hosted portals and the TunerPro Gains API (together, the "Services"), provided by TunerPro, a trading name of MMT Performance ("we", "us", "our"). By purchasing, accessing or using the Services you agree to these Terms. If you do not agree, do not use the Services.
1. Definitions
- "Software" — the TunerPro portal platform, whether self-hosted or managed by us.
- "API" — the TunerPro Gains API and any embed widget or SDK we provide.
- "You" / "Customer" — the business or individual that purchases or uses the Services.
- "End Users" — your own customers and sub-dealers who use a portal you operate.
2. Licence and permitted use
Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable licence to use the Services for your own business. A self-hosted licence is granted per installation/domain. You may not resell, sublicense, rent, or redistribute the Software except as expressly permitted in writing. You may not copy, decompile, reverse-engineer or attempt to extract the source code except to the extent permitted by law.
3. Accounts and security
You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under them. Notify us immediately of any unauthorised use. We may suspend access where we reasonably believe security has been compromised.
4. Fees, billing and taxes
Fees are as stated at the point of sale. One-time licence fees are payable in advance; managed hosting and API subscriptions renew automatically until cancelled. All fees are exclusive of VAT and other applicable taxes unless stated. Late or failed payments may result in suspension. Refunds are governed by our Refund Policy.
5. The Gains API
API access is subject to the plan limits, call quotas and rate limits shown for your plan. You must not exceed those limits, circumvent rate limiting, or use the API to build a competing bulk dataset or resell the raw data. We may revise limits, endpoints and data with reasonable notice. Data is provided for reference; see the disclaimer at clause 10.
6. Acceptable use
You must not use the Services to: (a) break any law or infringe any third-party rights; (b) upload malware or attempt to disrupt or gain unauthorised access to any system; (c) misrepresent the origin of files; or (d) use the Services in a way that harms us or other customers. We may suspend or terminate access for breach.
7. Your responsibilities and vehicle tuning
You are responsible for your own vendor tool accounts (such as AutoTuner, Alientech, bFlash), for your relationship with your End Users, and for your own pricing, invoicing and legal compliance towards them.
8. Intellectual property
We (and our licensors) retain all rights, title and interest in the Software, API and website, including all associated intellectual property. Your brand, content and customer data remain yours. Third-party names and trademarks are the property of their respective owners and are used for identification only.
9. Third-party services
The Services may integrate with third-party providers (payment processors, vendor tool APIs, messaging platforms). Your use of those services is subject to their own terms, and we are not responsible for their acts or omissions.
10. Warranties and disclaimers
We provide the Services with reasonable skill and care. Except as expressly stated and to the fullest extent permitted by law, the Services and all data (including performance figures) are provided "as is" and "as available" without warranties of any kind. Performance figures are indicative only and vary by vehicle, hardware and condition.
11. Limitation of liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law. Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue, data or goodwill; and our total aggregate liability arising out of or in connection with the Services is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim.
12. Indemnity
You agree to indemnify us against claims, losses and costs arising from your use of the Services, your files, your dealings with End Users, or your breach of these Terms or applicable law.
13. Term and termination
These Terms apply for as long as you use the Services. Either party may terminate a subscription in accordance with the plan terms. We may suspend or terminate immediately for material breach. On termination, your right to use the Services ends; provisions that by their nature should survive will do so.
14. Changes
We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance. The "last updated" date reflects the current version.
15. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer protections that apply to you.
